WSA Annual General Meeting, February 23, 2021

Wakefield Soccer Association will be holding its Annual General Meeting on February 23, 2021. In addition to a 2020 Year in Review, Bylaw amendment proposals and votes, and the voting of new board members will be held.

Remote Communication

The Board of Directors, in its sole discretion, may determine that any meeting, including but not limited to the annual general meeting, any special general meeting, or any board meeting, shall not be held at any place, but may instead be held partially or solely by means of remote communication. Subject to guidelines and procedures as the Board of Directors may adopt, Members or Directors not physically present at any meeting may participate, by means of remote communication, in any meeting and be deemed present in person and vote at any meeting, whether such meeting is to be held at a designated place or partially or solely by means of remote communication; provided, that (a) the Board of Directors shall implement reasonable measures to verify that each person deemed present and permitted to vote at a meeting by means of remote communication is a director or member properly authorized to vote at the meeting; (b) the Board of Directors shall implement reasonable measures to provide all persons a reasonable opportunity to participate in the meeting and to vote, including an opportunity to read or hear the proceedings of the meeting substantially concurrently with such proceedings; and (c) if any vote is taken or other action is taken at a meeting by means of remote communication, a record of such vote or other action shall be maintained by the secretary of the meeting.

Annual General Meeting (4.1)

The Annual General Meeting (AGM) shall be held prior to the start of the Spring soccer season each year, on a date to be selected by the Board of Directors, to review the current year’s activities to date and elect officers for the next year.
